Terms of Service

These Terms govern your access to and use of BizWatch, including our website, applications, point-of-sale tools, business workspaces, subscriptions, and related services.

Important agreement

By creating an account, joining a business workspace, purchasing a subscription, or using BizWatch, you agree to these Terms. Please read them carefully before using the service.

Agreement to these Terms

These Terms of Service form a legally binding agreement between you and Bizwatch concerning your access to and use of BizWatch.

In these Terms:

  • “BizWatch,” “we,” “us,” or “our” refers to Bizwatch;
  • “you” or “your” refers to the individual using the service and, where applicable, the organisation or business that individual represents;
  • “Business” means an organisation, sole proprietorship, company, partnership, association, trader, retailer, or other entity using the service;
  • “Workspace” means the business-specific environment created or accessed through BizWatch;
  • “Authorised User” means an owner, administrator, employee, contractor, accountant, cashier, manager, or other individual permitted to access a Workspace;
  • “Business Data” means information, records, files, images, transactions, customer details, inventory records, and other content submitted to or generated through a Workspace.

If you do not agree to these Terms, you must not create an account, purchase a subscription, or use BizWatch.

These Terms should be read together with our Privacy Policy and any additional terms, order forms, data-processing agreements, policies, or notices that apply to a specific feature or subscription.

The BizWatch service

BizWatch is a business-management platform designed to help businesses organise and manage daily operations.

Depending on your plan, configuration, permissions, and location, available features may include:

  • point-of-sale and sales processing;
  • product and category management;
  • inventory and stock movement tracking;
  • branch and location management;
  • customer records and purchase histories;
  • staff accounts, roles, and permissions;
  • expense recording and categorisation;
  • invoices, receipts, payments, and refunds;
  • reports and business analytics;
  • audit logs and activity records;
  • subscription and billing tools;
  • other features introduced from time to time.

The exact features available to you may depend on your subscription plan, enabled modules, business settings, country, currency, regulatory requirements, and technical availability.

BizWatch is a business-management tool. Unless we expressly state otherwise, we do not act as your accountant, tax adviser, lawyer, auditor, financial institution, employer, or business consultant.

Eligibility and authority

To create an account or enter into a paid subscription, you must have the legal capacity to enter into a binding agreement.

If you access or use BizWatch on behalf of a Business, you confirm that:

  • you are authorised to accept these Terms on behalf of that Business;
  • the information you provide about the Business is accurate and complete;
  • your use of the service does not breach any internal rule, employment obligation, contract, or law;
  • the Business agrees to be responsible for its Authorised Users and use of the Workspace.

If you do not have the required authority, you must not create, administer, purchase services for, or otherwise represent the Business through BizWatch.

Accounts and security

Account registration

You must provide accurate, current, and complete information when creating and maintaining an account. You must update your information when it changes.

You may not create an account:

  • using false or misleading information;
  • for another person without authority;
  • to impersonate another individual or organisation;
  • to evade a suspension or previous termination;
  • for an unlawful, fraudulent, or abusive purpose.

Account credentials

You are responsible for:

  • keeping your password and authentication credentials confidential;
  • using a strong and unique password;
  • protecting devices used to access the service;
  • configuring available security features appropriately;
  • not sharing an individual account between multiple people;
  • signing out of devices you no longer control;
  • promptly reporting suspected unauthorised access.

Unless caused by our breach of an applicable obligation, you are responsible for activity performed through your account before you notify us that it has been compromised.

Security notifications

You must promptly notify us at hello@blockzhire.com if you suspect that:

  • your account has been accessed without authority;
  • your password or authentication method is compromised;
  • Business Data has been improperly accessed;
  • a security vulnerability affects BizWatch.

Business Workspaces

A Business Workspace is controlled by the Business and its authorised owners or administrators.

The Business is responsible for:

  • the accuracy of its registration and profile information;
  • selecting and maintaining appropriate Workspace settings;
  • determining which users may access the Workspace;
  • assigning roles, permissions, and branch access;
  • reviewing and removing access when it is no longer needed;
  • ensuring Business Data is collected and used lawfully;
  • maintaining appropriate internal controls;
  • reviewing business records and reports for accuracy;
  • complying with applicable laws and industry obligations.

Workspace ownership

The individual who creates a Workspace may initially be treated as its owner or primary administrator. A Workspace may later have additional owners or administrators where the service supports this.

We may require reasonable documentation before changing ownership or administrative control of a Workspace, especially where:

  • there is a dispute between users;
  • the original owner is unavailable;
  • the Business has changed ownership;
  • fraud or unauthorised access is suspected;
  • we are legally required to verify authority.

We are not required to resolve internal employment, ownership, partnership, shareholder, or management disputes. We may restrict administrative changes until the parties provide sufficient evidence of authority or a binding legal direction.

Staff and Authorised Users

A Business may invite or permit Authorised Users to access its Workspace.

The Business is responsible for:

  • ensuring each Authorised User has a legitimate need for access;
  • assigning the minimum permissions reasonably required;
  • training users on proper use of the service;
  • ensuring users comply with these Terms;
  • reviewing user activity and audit records;
  • removing access promptly when employment or authority ends.

Actions performed by an Authorised User may be treated as actions of the Business where that user accessed the Workspace using credentials or permissions provided by the Business.

Authorised Users must not use another user’s account, share personal credentials, exceed granted authority, or attempt to bypass Workspace permissions.

Plans, subscriptions, and trials

Subscription plans

Some features may be available only through a paid subscription. Each plan may have different:

  • features and modules;
  • numbers of users, branches, or locations;
  • usage limits;
  • storage allowances;
  • reporting capabilities;
  • support levels;
  • billing periods and prices.

The current plan description and price presented at checkout or in an accepted order form form part of these Terms.

Free plans

We may provide a free plan with limited features, capacity, support, or usage. We may modify the limits or availability of a free plan by giving reasonable notice where practicable.

Trials and promotional access

We may offer a free trial, pilot, beta period, discount, credit, or promotional access. Unless otherwise stated:

  • the offer is available for a limited period;
  • it may apply only to eligible new or selected customers;
  • it may not be transferred or exchanged for cash;
  • we may withdraw it where there is fraud or abuse;
  • paid access may begin when the offer expires.

Where payment details are collected for a trial that converts to a paid plan, we will present the applicable conversion and billing terms before payment is authorised.

Plan changes

A Business may be able to upgrade or downgrade its plan through the billing settings. Changes may take effect immediately or at the beginning of the next billing period, as shown when the change is requested.

A downgrade may reduce access to certain features, limits, storage, branches, users, reports, or other functionality. The Business is responsible for reviewing the effect of a downgrade before confirming it.

Billing and payment

By purchasing a subscription or paid service, the Business agrees to pay the applicable fees, taxes, and charges shown at checkout or in an accepted order form.

Payment authorisation

You authorise us and our payment providers to charge the selected payment method for:

  • subscription fees;
  • approved upgrades or additional services;
  • usage-based charges where applicable;
  • taxes and other charges disclosed before payment.

Payment information

Payments may be processed by independent payment providers. We may receive transaction references, payment status, payer details, and limited payment metadata, but we generally do not intend to store full card numbers, card security codes, or online-banking credentials.

Payment failures

If a payment fails, is reversed, disputed, rejected, or remains overdue, we may:

  • notify the billing contact;
  • retry the authorised payment method;
  • request another payment method;
  • restrict paid features;
  • downgrade the Workspace;
  • suspend or terminate the subscription.

We will take reasonable steps to provide notice before suspending paid access for non-payment, except where immediate action is reasonably required to prevent fraud, loss, security risk, or unlawful activity.

Billing disputes

You should notify us at hello@blockzhire.com promptly after identifying a billing error.

Your notice should include the Business name, transaction reference, invoice number, amount, date, and a description of the issue.

Renewals and cancellation

Automatic renewal

Where a subscription is presented as automatically renewing, it will renew at the end of each billing period unless it is cancelled before the renewal date.

Renewal will be charged using an authorised payment method at the then-applicable price, subject to any notice required for a price change.

Cancellation

A Business may cancel an automatically renewing subscription through available billing settings or by contacting support.

Unless otherwise stated:

  • cancellation stops future renewal rather than immediately deleting the Workspace;
  • paid access normally continues until the end of the current paid billing period;
  • cancelling does not automatically entitle the Business to a refund for the remaining period;
  • outstanding charges remain payable;
  • usage after cancellation may be subject to the limits of an available free plan.

Account deletion is different from cancellation

Cancelling a subscription does not necessarily delete user accounts, Workspace records, or Business Data. A separate deletion request may be required.

Refunds

Unless required by applicable law, expressly stated at checkout, or agreed in writing, subscription payments are generally non-refundable after the relevant service period has begun.

We may consider a refund or account credit where:

  • you were charged more than once for the same service;
  • an unauthorised payment is verified;
  • we charged an amount different from the agreed price;
  • a prolonged service failure caused by us materially prevented use of a paid service;
  • applicable consumer law requires a refund;
  • we determine that a refund is fair in the circumstances.

Refund eligibility may depend on the circumstances, payment method, usage, elapsed time, and legal requirements.

Approved refunds will generally be returned through the original payment method where reasonably possible. Payment-provider processing times may apply.

Taxes

Fees may be stated as inclusive or exclusive of applicable taxes. The applicable treatment will be shown at checkout, on the invoice, or in an order form.

You are responsible for taxes, levies, duties, and governmental charges associated with your purchase or use of the service, except taxes imposed directly on our net income.

A Business remains responsible for determining, collecting, reporting, and remitting taxes connected with its own sales, employees, suppliers, income, and operations.

Reports and tax fields generated through BizWatch are operational tools and do not replace advice from a qualified tax professional.

Acceptable use

You may use BizWatch only for lawful and authorised business purposes.

You must not use the service to:

Break the law

Conduct, promote, facilitate, or conceal fraud, theft, money laundering, tax evasion, unauthorised financial activity, or another unlawful act.

Misrepresent transactions

Create false sales, invoices, receipts, expenses, customers, refunds, stock records, or other misleading business records.

Access systems improperly

Access another account, Workspace, API, database, device, network, or system without authority.

Bypass security

Defeat authentication, permissions, rate limits, usage restrictions, security controls, or technical protections.

Disrupt the service

Introduce malicious code, overload systems, perform denial-of-service activity, or interfere with normal platform operation.

Probe without permission

Scan, test, reverse engineer, or attempt to exploit security vulnerabilities without our prior written permission.

Abuse other people

Harass, threaten, defame, discriminate against, impersonate, deceive, or violate the rights of another person.

Upload harmful content

Upload unlawful, infringing, malicious, deceptive, sexually exploitative, or otherwise prohibited material.

Violate privacy

Collect, disclose, sell, monitor, or use personal information without an appropriate lawful basis or authority.

Resell without permission

Resell, sublicense, lease, white-label, or commercially provide the service to another party unless authorised by a separate agreement.

Automate abusively

Use bots, scrapers, scripts, or automated methods in a way that harms the service, circumvents limits, or extracts data without permission.

Misuse intellectual property

Copy, modify, distribute, or create derivative products from protected parts of BizWatch except as permitted by law or written agreement.

We may investigate suspected violations and take proportionate action, including warning, restriction, suspension, termination, preservation of evidence, or reporting to an appropriate authority.

Business Data

Ownership of Business Data

As between the Business and Bizwatch, the Business retains its rights in Business Data submitted to or generated through its Workspace, subject to the rights of customers, employees, suppliers, other individuals, and third parties.

Permission to process Business Data

The Business grants us a limited, non-exclusive right to host, store, reproduce, transmit, display, organise, back up, analyse, and otherwise process Business Data only as reasonably necessary to:

  • provide and operate BizWatch;
  • perform requested features and integrations;
  • maintain security and prevent abuse;
  • provide support and resolve technical issues;
  • comply with lawful obligations;
  • enforce these Terms;
  • improve the service using aggregated or de-identified information.

Business responsibilities

The Business confirms that:

  • it has the right to submit and process Business Data;
  • Business Data does not unlawfully infringe another person’s rights;
  • it has provided any required privacy notices;
  • it has obtained any required consent or authorisation;
  • Business Data is not intentionally false, harmful, or unlawful;
  • it will not upload unnecessary sensitive information;
  • it will correct or remove information when legally required.

Accuracy of Business Data

We provide tools for recording and processing Business Data, but the Business remains responsible for reviewing its records for accuracy and completeness.

Reports, balances, stock values, profit calculations, tax figures, and analytics may be affected by incorrect data, configuration, permissions, dates, units, prices, transaction status, or missing records.

Privacy and data protection

Our handling of personal information is described in our Privacy Policy .

Where a Business determines why and how personal information is processed through a Workspace, that Business is generally responsible for:

  • having an appropriate lawful basis;
  • providing privacy notices;
  • responding to data-subject requests;
  • setting suitable access permissions;
  • maintaining appropriate retention periods;
  • complying with applicable data-protection law.

We may process such information as a service provider or data processor on behalf of the Business, subject to applicable law, our agreements, and the Business’s lawful instructions.

Where appropriate, we may enter into a separate data-processing agreement with a Business.

Intellectual property

BizWatch, including its software, source code, object code, interface, layout, design, graphics, documentation, trademarks, logos, databases, reports, text, and other platform materials, is owned by or licensed to Bizwatch.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use BizWatch for your internal business operations.

This permission does not allow you to:

  • copy or reproduce the service except as technically necessary to use it;
  • modify or create derivative works from the service;
  • reverse engineer or attempt to discover source code;
  • remove copyright, trademark, or ownership notices;
  • sell, lease, sublicense, or distribute the service;
  • use our name or branding without permission;
  • use the service to develop a directly competing product through unauthorised extraction or copying.

Nothing in these Terms transfers ownership of BizWatch or our intellectual property to you.

Feedback and suggestions

You may provide suggestions, ideas, feature requests, improvements, comments, or other feedback about BizWatch.

Unless we agree otherwise in writing, you grant us permission to use, adapt, develop, publish, and incorporate that feedback into our products and services without restriction or payment.

This does not give us ownership of your confidential Business Data.

Third-party services and integrations

BizWatch may connect to or rely on third-party services, including:

  • payment processors;
  • banks and financial-service providers;
  • email, SMS, and communication providers;
  • cloud hosting and storage providers;
  • maps and location services;
  • analytics and monitoring providers;
  • accounting, identity, and authentication services;
  • other integrations selected by a Business.

Third-party services may be governed by their own terms, privacy policies, fees, availability, restrictions, and security practices.

Unless the law requires otherwise, we are not responsible for:

  • the independent acts or omissions of third parties;
  • third-party service interruptions;
  • a Business’s configuration of an integration;
  • fees imposed directly by a third party;
  • data a Business instructs us to send to an integration;
  • changes made by a third-party provider.

We may disable an integration where it creates a security, legal, operational, or compatibility risk.

Service availability and changes

We aim to provide a reliable service, but continuous or uninterrupted availability cannot be guaranteed.

Access may be affected by:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates and deployments;
  • internet or telecommunications failures;
  • payment-provider or cloud-provider outages;
  • device, browser, or network compatibility;
  • security incidents or attacks;
  • events beyond our reasonable control.

We may add, modify, replace, limit, or discontinue features where reasonably necessary for security, performance, legal compliance, usability, commercial sustainability, or product development.

Where a material change significantly reduces a paid service, we will try to provide reasonable notice where practicable.

Beta and preview features

A feature identified as beta, preview, experimental, pilot, early access, or similar may:

  • be incomplete or unstable;
  • contain errors;
  • change without notice;
  • have limited support;
  • be discontinued before general release.

You should not rely on a beta feature as the sole system for critical business records unless we expressly agree otherwise.

Support

Support may be available through email, support tickets, in-platform channels, documentation, or other methods we provide.

Support availability, response times, and channels may depend on:

  • your subscription plan;
  • the nature and severity of the issue;
  • our published support hours;
  • the information required to investigate;
  • whether a third-party provider is involved.

To help us resolve an issue, you may need to provide:

  • the affected Business or Workspace;
  • the affected user or branch;
  • relevant transaction or record references;
  • screenshots or error messages;
  • the steps that produced the issue;
  • device, browser, and time information.

You must not send passwords, card security codes, banking credentials, or other unnecessary sensitive information through support channels.

Suspension and access restrictions

We may temporarily restrict or suspend an account, feature, subscription, integration, or Workspace where we reasonably believe it is necessary to:

  • prevent fraud, abuse, or unlawful activity;
  • protect users, Business Data, or platform security;
  • respond to a suspected account compromise;
  • prevent material harm to the service or another user;
  • address overdue or disputed payment;
  • investigate a serious violation of these Terms;
  • comply with a lawful request or legal obligation;
  • address use that materially exceeds applicable limits.

Where reasonably possible, we will notify the relevant account or Workspace administrator and provide an opportunity to resolve the issue.

We may act without advance notice where delay could increase fraud, loss, security risk, legal exposure, or harm to another person.

Termination

Termination by you

You may stop using BizWatch at any time. A Business may cancel its subscription and request closure of its Workspace through available account settings or by contacting support.

Termination by us

We may terminate or permanently disable access where:

  • there is a serious or repeated breach of these Terms;
  • the service is used for fraud or unlawful activity;
  • an account poses a material security risk;
  • fees remain unpaid after reasonable notice;
  • continued service would violate law or a binding order;
  • a Business ceases operations or becomes insolvent;
  • we discontinue the relevant service.

Effect of termination

When access is terminated:

  • your right to use the affected service ends;
  • outstanding fees remain payable;
  • Authorised Users may lose access to the Workspace;
  • integrations and automated functions may stop;
  • Business Data may become subject to export and deletion periods;
  • provisions intended to survive termination remain effective.

Data export, account closure, and deletion

A Business should export records it is legally or operationally required to retain before closing its Workspace or allowing a subscription to end.

Available export formats and capabilities may depend on the plan, module, record type, technical feasibility, and applicable law.

Following closure or termination, we may:

  • provide a limited period for authorised data export;
  • retain records required by law or legitimate dispute needs;
  • restrict processing while deletion is pending;
  • delete or anonymise Business Data after the applicable period;
  • retain encrypted backup copies until backup cycles expire.

We may not be able to restore information after it has been permanently deleted.

Keep your own required records

BizWatch should not be your only copy of records that your Business is legally required to retain. Export and maintain appropriate backups according to your operational and regulatory needs.

Warranties and disclaimers

We will provide BizWatch with reasonable care and skill, subject to these Terms and applicable law.

However, to the fullest extent permitted by law, the service is provided on an “as available” basis. We do not promise that:

  • the service will always be uninterrupted or error-free;
  • every feature will meet every Business’s requirements;
  • all errors will be corrected immediately;
  • the service will be compatible with every device or integration;
  • third-party services will remain available;
  • reports will be accurate where source data is incorrect;
  • use of the service will guarantee profit, growth, compliance, or business success.

You remain responsible for:

  • reviewing transactions and reports;
  • maintaining appropriate internal controls;
  • complying with tax, accounting, employment, and business laws;
  • protecting devices and account credentials;
  • maintaining any independently required records or backups;
  • obtaining professional advice where necessary.

Nothing in this section excludes a warranty, right, or remedy that cannot lawfully be excluded.

Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Subject to applicable law, Bizwatch will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from use of or inability to use BizWatch.

This may include loss of:

  • profit or anticipated profit;
  • revenue or business opportunity;
  • goodwill or reputation;
  • expected savings;
  • data caused by the Business’s actions or configuration;
  • business interruption caused by a third-party service;
  • loss resulting from inaccurate source information.

Subject to applicable law, our total aggregate liability arising from or relating to a paid service will not exceed the greater of:

  • the fees paid by the affected Business to us for the relevant service during the six months immediately preceding the event giving rise to the claim; or
  • any minimum amount that applicable law does not permit us to exclude.

For a free service, and subject to applicable law, our total aggregate liability will be limited to the minimum amount that cannot lawfully be excluded.

These limitations apply collectively to all claims arising from the same or related events, regardless of the legal basis of the claim.

Legal review required

Liability caps must reflect your actual pricing, insurance, customer type, and legal advice. Confirm the final cap with a qualified Nigerian commercial lawyer before publishing these Terms.

Indemnity

To the extent permitted by applicable law, a Business agrees to indemnify and hold Bizwatch, its directors, employees, contractors, and agents harmless from third-party claims, losses, penalties, liabilities, and reasonable costs arising from:

  • the Business’s unlawful use of BizWatch;
  • Business Data submitted without appropriate rights or authority;
  • the Business’s breach of privacy or data-protection obligations;
  • fraudulent, false, or unlawful transactions recorded through the Workspace;
  • the Business’s breach of another person’s intellectual-property rights;
  • the Business’s material breach of these Terms;
  • actions of Authorised Users acting through the Business’s Workspace.

We will provide reasonable notice of an indemnified claim and allow the Business to participate in the defence, subject to our right to protect our legal and commercial interests.

This section does not require a consumer to indemnify us beyond what applicable law permits.

Consumer rights

Nothing in these Terms is intended to exclude, restrict, waive, or limit a consumer right or remedy that cannot lawfully be excluded.

Where applicable consumer-protection law gives you stronger rights than these Terms, the applicable law will prevail to the extent of the inconsistency.

You may raise a complaint directly with us using the contact details at the end of these Terms.

Depending on the circumstances, you may also be entitled to seek assistance or redress through the Federal Competition and Consumer Protection Commission or another competent authority.

Complaints and dispute resolution

Contact us first

Before commencing formal proceedings, you should send a written dispute notice to hello@blockzhire.com .

The notice should include:

  • your name and contact information;
  • the relevant Business and Workspace;
  • a description of the dispute;
  • relevant dates and transaction references;
  • the resolution you are requesting;
  • supporting documents where appropriate.

Good-faith resolution

The parties will attempt in good faith to resolve the dispute through direct discussion within a reasonable period after a complete dispute notice is received.

Mediation

If direct discussion does not resolve the dispute, the parties may agree to refer it to mediation before commencing court proceedings.

Urgent relief

Nothing prevents either party from seeking urgent injunctive, protective, or interim relief where necessary to prevent imminent harm, fraud, data loss, security compromise, or intellectual-property infringement.

Regulatory complaints

Nothing in these Terms prevents an individual from making a complaint to a competent consumer-protection, data-protection, or other regulatory authority.

Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria.

Subject to any mandatory consumer rights and the dispute process above, the courts with competent jurisdiction in Nigeria may hear disputes arising from or relating to these Terms or BizWatch.

Nothing in this section prevents a consumer from relying on a mandatory jurisdiction or remedy provided by applicable law.

Changes to these Terms

We may update these Terms to reflect changes in:

  • our services and features;
  • subscription plans or billing practices;
  • security requirements;
  • technology or integrations;
  • legal or regulatory obligations;
  • our business operations.

When we update these Terms, we will revise the “Last updated” date at the top of this page.

Where a change is material, we may provide additional notice through the platform, by email, or through another reasonable method.

Material changes will normally apply prospectively from their stated effective date. Continued use after that date constitutes acceptance where permitted by law.

If you do not agree to updated Terms, you should stop using the service and cancel any renewing subscription before the new Terms take effect.

General provisions

Entire agreement

These Terms, the Privacy Policy, applicable order forms, and any additional written terms form the entire agreement concerning the relevant service and replace earlier discussions or understandings about that service.

Order of priority

If there is a conflict between these Terms and a separately signed agreement, the signed agreement will control to the extent of that conflict.

Severability

If a provision is found invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

No waiver

A failure or delay in enforcing a right does not waive that right. A waiver must be clear and applies only to the specific circumstances for which it is given.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign these Terms as part of a merger, acquisition, restructuring, financing, sale of assets, or transfer of the relevant business, subject to applicable law.

Relationship of the parties

These Terms do not create an employment, partnership, agency, franchise, fiduciary, or joint-venture relationship between you and Bizwatch.

Third-party beneficiaries

Unless expressly stated, these Terms do not grant enforcement rights to a person who is not a party to them.

Force majeure

Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet or telecommunications failure, widespread cloud outage, industrial action, epidemic, or major cyberattack.

Electronic communications

You agree that notices, confirmations, invoices, policies, and other communications may be provided electronically through email, the platform, or another appropriate digital channel.

Headings

Section headings are provided for convenience and do not change the meaning of these Terms.

Language

These Terms are written in English. If a translation is provided, the English version will control to the extent permitted by applicable law and in the event of an inconsistency.

Survival

Provisions relating to payment, intellectual property, confidentiality, Business Data, liability, indemnity, dispute resolution, governing law, and any other provision intended by its nature to survive will continue after termination.
